According to the agreement, Aditxt, through its wholly owned subsidiary Adivir Inc., will acquire all outstanding Class A common shares of Appili. The amendments in this agreement changes the Outside Date from Sept. 30, 2024, to Nov. 19, 2024; requires Appili to convene an annual and special shareholder’s meeting to consider, among other things, the Continuance as promptly as practicable; changes the deadline to convene a special shareholders’ meeting to consider the transaction; changes the deadline for Aditxt to complete the financing; and adds the completion of the Continuance as a condition to the completion of the arrangement.
