AST SpaceMobile (NASDAQ: ASTS), which is building a space-based cellular broadband network accessible directly by everyday smartphones for commercial and government applications, closed a $1 billion aggregate principal amount offering of 1.625% convertible senior notes due 2034 in July 2026. The initial purchasers also exercised in full their option to purchase an additional $150 million principal amount of notes. As part of the transaction, AST SpaceMobile purchased a capped call hedge that increased the effective conversion price to $149.20 per share. The company said the financing provided capital to pursue growth opportunities, continue vertical integration and secure additional access to orbit, while the capped call transactions were designed to mitigate potential dilution or cash obligations upon conversion of the notes.
