Redwood AI (CSE: AIRX) (OTCQB: RDWCF) (Frankfurt: Y0N) (WKN: A422EZ) has completed its acquisition of all issued and outstanding shares of Quantum.IQ Technologies Inc., a Vancouver-based quantum cybersecurity company developing software to help organizations assess and prepare encryption systems for future quantum-enabled cyber threats. Quantum.IQ is now a wholly owned subsidiary of Redwood, expanding the company’s technology base with capabilities focused on cryptographic visibility, quantum-readiness assessment and security infrastructure planning. Redwood issued up to 14,033,558 common shares at a deemed price of $2.98 per share as consideration for the acquisition, including 7,033,558 shares subject to staged escrow over 24 months and up to 7 million additional shares held in milestone escrow tied to specified customer and revenue criteria. The company also issued 50,000 shares as an administrative fee and 100,000 shares as a finder’s fee.
