NANO-X IMAGING (NASDAQ: NNOX) announced a securities purchase agreement with a single long-term institutional investor for a registered direct offering expected to generate approximately $8 million in gross proceeds before fees and expenses. The financing includes the sale of 8 million ordinary shares, or prefunded warrants in lieu thereof, together with warrants to purchase up to an additional 8 million ordinary shares at a combined purchase price of $1.00 per share and accompanying warrant. The warrants will carry a $1.15 exercise price, become exercisable six months after issuance and expire five years after closing.
The offering is expected to close on or about Aug. 7, 2026, subject to customary closing conditions. Nano-X said it intends to use the net proceeds for working capital and general corporate purposes. A.G.P./Alliance Global Partners is serving as the sole placement agent for the transaction.
